Acceptance of Terms

By accessing or using Foreva AI's services, including our website, restaurant voice AI platform, Square POS integration, Clover POS integration, API, or SDK, you agree to be bound by these Terms of Service ("Terms").

These Terms apply to all users, including restaurant owners, staff members, developers, partners, and customers who interact with our services.

Important: If you do not agree to these Terms, you may not use our services. By continuing to use our services after any changes to these Terms, you accept the updated Terms.

Our Services

Restaurant Voice AI Platform

  • AI-powered voice ordering and customer service automation
  • Real-time order processing and management
  • Integration with restaurant POS systems and workflows

POS Integrations (Square & Clover)

  • One-click connection with Square and Clover point-of-sale systems
  • Automatic order synchronization and menu management
  • Real-time inventory and pricing updates
  • Payment processing through approved POS platforms (Clover/Fiserv, Square)

Foreva AI for Clover App

The Foreva AI application integrates directly with your Clover POS system to provide AI-powered voice ordering capabilities for your restaurant. When you install and use our Clover app, you receive:

  • Automated Phone Ordering: Our AI answers customer phone calls 24/7, takes orders, and processes them directly into your Clover POS
  • Menu Synchronization: Automatic sync of your menu items, prices, modifiers, and availability from Clover to our voice AI system
  • Order Management: All voice orders are created as Clover orders with proper categorization, customer information, and payment tracking
  • Real-Time Updates: Instant notification of new orders to your Clover devices and your staff.
  • Reporting & Analytics: View voice order analytics and real time report.

The app operates as a service provider on behalf of your business, processing merchant and customer data solely to facilitate voice-based ordering through your Clover system.

Developer API & SDK

  • RESTful API for voice AI integration into third-party platforms
  • Software Development Kit for custom implementations
  • Partner portal with analytics, documentation, and support tools

User Accounts

To use our services, you may need to create an account. You agree to:

Account Security

  • • Provide accurate and complete information
  • • Keep your login credentials secure
  • • Use strong passwords and enable MFA when available
  • • Notify us immediately of any unauthorized access

Account Responsibility

  • • You are responsible for all activity under your account
  • • Only authorized personnel should access business accounts
  • • Keep contact and business information up to date
  • • Comply with all applicable laws and regulations

Business Accounts: Restaurant owners are responsible for ensuring staff members with access to the system are properly trained and authorized to use our services.

Acceptable Use Policy

✓ Permitted Uses

  • • Using our services for legitimate restaurant operations and customer service
  • • Integrating our API/SDK into your applications for restaurant voice AI features
  • • Accessing usage analytics and performance data for your account
  • • Providing feedback and suggestions for service improvements
  • • Using our services in compliance with applicable laws

✗ Prohibited Activities

  • • Attempting to reverse engineer, decompile, or extract our AI models
  • • Using our services for illegal activities or fraud
  • • Exceeding rate limits or attempting to overload our systems
  • • Sharing API keys or allowing unauthorized access to your account
  • • Using our services to compete directly with Foreva AI
  • • Violating any third-party rights or applicable regulations
  • • Attempting to access other users' data or accounts

Billing & Payments

Subscription Plans

  • Monthly/Annual: Billed in advance
  • Usage-Based: API calls and processing volume
  • Free Tiers: Available for testing and development
  • Auto-renewal: Cancel anytime from your dashboard

Payment Terms

  • Payment Methods: Credit cards, ACH, invoicing
  • Billing Disputes: Must be reported within 120 days of charge
  • Late Payments: May result in service suspension
  • Refunds: Pro-rated for unused service periods
  • Taxes: Customer responsible for applicable taxes

AI Services & Performance

Our AI services are designed to provide high-quality voice processing and order management, but AI technology has inherent limitations:

Service Expectations

  • Accuracy: AI models strive for high accuracy but may occasionally misinterpret orders
  • Availability: We target 99.9% uptime but cannot guarantee uninterrupted service
  • Performance: Response times may vary based on system load and complexity
  • Updates: AI models are continuously improved, which may affect behavior

Your Responsibilities

  • • Monitor AI interactions and maintain human oversight when appropriate
  • • Provide accurate menu data and keep information current
  • • Train staff to handle AI system alerts and fallback procedures
  • • Report issues promptly to help us improve service quality

Important: AI systems are tools to enhance your restaurant operations, not replace human judgment. Critical business decisions should always involve appropriate human review.

Data Processing Terms

When you use our POS integrations and voice AI services, we process personal information on your behalf. These terms govern our data processing obligations:

Our Role as Service Provider

For data processed through POS integrations (Square, Clover), we act as a service provider or data processor:

  • • We process personal information only to provide our services to you
  • • We do not retain, use, or disclose personal information for any purpose other than performing the services
  • • We do not sell personal information as defined by CCPA
  • • We limit data collection to what is reasonably necessary and proportionate to provide the services
  • • We implement and maintain reasonable security measures

Your Obligations as Data Controller

As a restaurant owner using our services, you are responsible for:

  • • Obtaining necessary consents from customers for voice recording and data processing
  • • Providing appropriate privacy notices to your customers
  • • Ensuring compliance with applicable privacy laws (GDPR, CCPA, etc.)
  • • Responding to data subject requests from your customers
  • • Maintaining accurate customer data in your POS systems

Data Subject Requests

We will assist you in responding to data subject requests:

  • • We will promptly notify you of any requests we receive from your customers
  • • We will provide reasonable assistance to help you respond to requests
  • • You remain responsible for verifying the identity of requestors
  • • We will redirect data subject requests to you as the merchant

CCPA/GDPR Compliance

CCPA Requirements

  • • Service provider certification
  • • No sale of personal information
  • • Limited purpose processing
  • • Right to direct disclosure
  • • Compliance with data subject rights

GDPR Requirements

  • • Data Processing Agreement (DPA)
  • • Standard Contractual Clauses
  • • Data protection impact assessments
  • • Breach notification within 72 hours
  • • Sub-processor management

Confidentiality

We will keep confidential all non-public information about your business, customers, and operations. This obligation does not apply to information that is:

  • • Publicly available through no fault of ours
  • • Independently developed by us without using your information
  • • Required to be disclosed by law or court order
  • • Disclosed with your written permission

Data Processing Agreement: For GDPR compliance, we provide a separate Data Processing Agreement (DPA) upon request. Contact support@foreva.ai to request your DPA.

Liability & Warranties

Service Warranty

We provide our services "as is" and make no warranties except those that cannot be legally excluded. We strive to maintain high service quality but cannot guarantee:

  • • Uninterrupted or error-free operation
  • • Complete accuracy of AI interpretations
  • • Compatibility with all third-party systems
  • • Specific business outcomes or revenue impacts

Limitation of Liability

To the extent permitted by law, our total liability is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for:

  • • Lost profits, revenue, or business opportunities
  • • Indirect, consequential, or punitive damages
  • • Data loss not caused by our negligence
  • • Third-party system failures or integration issues
  • • Customer disputes arising from AI order processing

Critical Systems: Our services are not intended for use in life-critical or safety-critical applications. You are responsible for implementing appropriate safeguards and backup procedures.

Termination

Your Rights

  • • Cancel your subscription anytime from your dashboard
  • • Download your data before termination
  • • Receive pro-rated refunds for unused service periods
  • • Request data deletion in compliance with privacy laws

Our Rights

  • • Suspend service for non-payment or policy violations
  • • Terminate accounts that violate acceptable use policies
  • • Discontinue services with reasonable notice
  • • Preserve data for legal and compliance requirements

Data Retention After Termination

After account termination, we retain your data for 30 days to allow reactivation. After this period, data is permanently deleted unless required for legal or compliance purposes. You can request immediate data deletion by contacting our privacy team.

General Terms

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email at least 30 days before they take effect. Your continued use of our services after changes become effective constitutes acceptance of the updated Terms.

Choice of Law and Jurisdiction

These Terms are governed by the laws of the State of New York, United States, without regard to its conflicts of law provisions. Any disputes arising from these Terms or our services will be resolved through:

  • • Binding arbitration in New York, NY
  • • Arbitration under the American Arbitration Association rules
  • • Individual basis only (no class actions)
  • • Both parties waive the right to a jury trial

Assignment

You may not assign or transfer these Terms or your account to any third party without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Authority

By accepting these Terms, you represent and warrant that you have the legal authority to bind your business or organization to this agreement. If you are accepting on behalf of an employer or other entity, you represent that you have full legal authority to do so.

Legal Compliance

You agree to comply with all applicable federal, state, and local laws and regulations when using our services. This includes but is not limited to:

  • • Privacy and data protection laws (GDPR, CCPA, etc.)
  • • Consumer protection laws
  • • Anti-discrimination laws
  • • Food service and restaurant regulations
  • • Telephone Consumer Protection Act (TCPA)

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Foreva AI regarding our services and supersede all prior agreements and understandings.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future. Any waiver must be in writing and signed by an authorized representative.
